Supplier Terms of Services

1. INTRODUCTION

1.1 Who are we? Eventory is, an event planning resource portal and exclusively curated marketplace featuring suppliers across the industry specializing in wedding, birthdays, memorials and other occasions.online multi-vendor marketplace for event-related goods and services. Eventory is owned and operated by Opencloud Opc, a corporation duly organized and existing under the laws of the Philippines, with principal office address at 162 Alfonso XIII, Brgy. Corazon de Jesus, San Juan City, Manila, Philippines (“Eventory”, “we”, “our” or “us”).

1.2 Users. Eventory allows clients registered on the Eventory website (the “Clients”) to canvass, book, reserve for, pay for, and manage their event-related services and products (the "Products and Services and Products") while our registered vendors and Suppliers (the “Suppliers”) can manage inquiries, bookings, payments, and receivables for the Products and Services and Products. The Clients and Suppliers are collectively referred to as (“Users”, “you”, “your”).

1.3 Terms. Please read these Terms of Service (“Terms”) carefully as they contain important information about your legal rights, remedies and obligations. By accessing or using the Eventory website, www.eventory.ph (the “Site”), you agree to be legally bound by these Terms.

1.4 Reach out. For any questions or concerns regarding these Terms, you may contact us via email at info@eventory.ph. We will do our best to be as responsive as possible.

1.5 The Site and Products and Services and Products together are collectively referred to as the “Eventory Platform”.

1.6 Our Privacy Policy and other policies applicable to your use of the Eventory Platform (collectively, “Eventory Policies”) are incorporated by reference into these Terms.

1.7 Our collection and use of personal information in connection with your access to and use of the Eventory Platform is described in our Privacy Policy.

2. ACCOUNT REGISTRATION

 

2.1 User Registration. All Users must create an account on the Site prior to using the Eventory Platform. We will be collecting some of your personal data, which we will keep secure and safe in accordance towith our Privacy Policy. By signing up and registering on the Eventory Platform, or availing of the Services and Products, you affirm and warrant that you are You must be at least eighteen (18) years old and have the legal and mental capacity to access and use the Eventory Platform.

2.2 Passwords. Please protect your account details and password at all times. We will assume that all activities on your account are authorized by you. Please notify us immediately if you suspect that your account has been compromised.

2.3 Due Diligence by Clients. Clients acknowledge that while we exercise due diligence in verifying the identity of Suppliers upon their registration to the Eventory Platform, we cannot and will not guarantee the Supplier’s identity, competence, and legal capacity. We do not endorse any particular Supplier nor do we guarantee the quality of their Products and Services and Products. You should use the Eventory Platform as a starting point to identify companies or individuals who provide the Products and Services and Products you need, then conduct independent research to ensure the Suppliers you engage are appropriate for you.

2.4 Supplier Legal Capacity. If you agree to these Terms on behalf of a corporation or other legal entity, you represent and warrant that you have the authority and legal capacity to bind the business entity to the Terms and, in such event, “you” and “your” refer to that company or other entity.

c. Bureau of Internal Revenue (BIR) Certificate of Registration
d. Proof of Signatory’s Authority - Secretary's Certificate
e. Copy of Copies of 1 Government-Issued ID of Authorized Signatory

a. Securities and Exchange Commission (SEC) Registration or Department of Trade and Industry (DTI) Certificate of Registration
b. Bureau of Internal Revenue (BIR) Certificate of Registration
c. Proof of Signatory’s Authority – Special Power of Attorney (when signatory is not the registered owner)
d. Copies Copy of 2 1 Government-Issued IDs of Authorized SignatoryOwner
e. e.Nominated Bank Account Information

a. Proof of Billing (Any utility bill or bank statement issued in Freelancer’s name in the last 3 months)
b. Proof of Income (Any credit card or bank statement issued in Freelancer’s name incovering the last 3 months)
c. Copy of 1 Government-Issued ID of Freelancer

 

3. EVENTORY RESPONSIBILITIES

 

3.1 Eventory shall operate and maintain the Eventory Platform 24 hours a day, 7 days a week.

3.2 The Eventory customer support desk shall be available on:

Monday-Friday: 9AM – 6PM, Manila time, excluding holidays.

3.3 Eventory may initiate marketing strategies and create original content to be used on our Site for sales and promotions.

3.4 Eventory shall process online payments according to the settlement schedule further discussed in Clause 7.

3.5 Eventory shall undertake the necessary security measures to reduce fraud but cannot and will not guarantee a completely fraud-free environment. Nevertheless, Eventory shall be held liable for errors or fraud committed due to the fault or negligence of its employees. Eventory disclaims any and all liability for errors or fraud due to the fault of the Supplier or any of its employees.

3.6 Eventory is neither a vendor nor agent of any Supplier. We merely provide a centralized platform where Clients and Suppliers can connect. We have no control over the existence, quality, accuracy, safety, or legality of the transactions that take place on the Eventory Platform nor the accuracy of Supplier listings. We have no control over the ability of Suppliers to perform Services or provide Products. Nor do we have control over the capacity of Clients to pay for Services and Products. We make no representations nor warranties and disclaim liability and responsibility for the actions or inactions of Users.

3.7 Eventory will not be liable for any failure or delay in performance of our obligations caused by events outside our reasonable control.

 

4. SUPPLIER RESPONSIBILITIES

 

4.1 Successfully registered  and approved Suppliers are required to commit a minimum term of 60 days on the Eventory Platform. This is subject to automatic renewal of another 30 days unless Eventory and the Supplier mutually agreed to terminate Supplier’s account on the Eventory Platform.

4.2 Suppliers must upload to Eventory a list of services and products identical to the menu of products or services published on their respective websites or other similar channels of commerce (“Service or Product Menu”).

4.3 Eventory and Suppliers shall make joint efforts to market eventory.ph to its Clients.

4.4 A Supplier who receives payment, either partial or in full, for a Service or Product booking request from a Client enters into a legally binding agreement with the Client and is required to reserve the date, in the case of a partial payment, or provide the Service or Product, in the case of full payment.

4.5 In the event of an emergency and Supplier cannot fulfill a paid Service, Supplier must take all the steps to inform the client and Eventory as early as possible prior to the date of event and provide a suitable replacement, otherwise Supplier agrees to issue a full refund.

4.6 Suppliers shall regularly provide Eventory with high-definition photos or videos of new and existing Services and Products for use on the Site and Suppliers expressly authorize Eventory to use its name, logo and associated branding materials including tagged photos or videos from Suppliers’ social media accounts for purposes of marketing.

4.7 Supplier commits to respond to Client bookings and inquiries within 1-2 business days. Suppliers who anticipate their absence or inability to monitor Client bookings must enable their “out of office” notifications.

4.8 Suppliers must promptly notify Eventory if there is any change to its registered business name. We may require Suppliers to provide additional documentation for proof of name change. If any of our Suppliers enter into dissolution, merger or other significant changes in personnel, we may at our discretion, terminate your account, including all content previously associated with such account.

4.9 Suppliers acknowledge that Eventory will not endorse you or your Services and Products. We are in no way responsible for the commercial terms between you and Clients nor are we responsible for assisting you in the delivery of the Products and Services.

 

Supplier shall be solely responsible for any expenses related to non-fulfillment, delay, non-delivery, or erroneous delivery of Services and Products.

4.10 Suppliers are absolutely prohibited from offering Products or Services involving narcotics, unauthorized gaming, objectionable sexual materials such as child pornography, products infringing on any third party’s intellectual property rights, or any other products or services prohibited by law.

 

5. CLIENT BOOKINGS / PURCHASES

 

5.1 For standard Services and Products, Clients shall place orders by first initiating a Booking Request with a Supplierfor confirmation of schedule availability. Once schedule is confirmed by Supplier, Client will be prompted to make payment. The temporary date blocked by Supplier and payment request are valid for 24 hours from the time the Supplier agrees to the schedule and requests payment. Clients can settle payment by proceeding with the Payment Link..

5.2 If the Products or Services desired are customized, Supplier  shall send Client an automated billing with corresponding payment options. The temporary date blocked by the Supplier and payment request are valid for 24 hours from the time the Supplier sends the Billing.

5.3 Clients shall be responsible for ensuring the accuracy of the Services and Products ordered.

5.4 Unless otherwise provided by the Supplier in its terms specified on the Site, online payment  must be made in full before any Products are dispatched or Services rendered.

5.5 We offer the following payment methods:

a) Credit Card  powered by Xendit

b) EWallet powered by Xendit

c) Bank Transfer (coming soon)

d) Buy Now, Pay Later powered by Billease

5.6 We reserve the right to add, modify, or remove payment methods without prior notice to Users.

5.7 Any shipping fees for delivery of Products and any other incidental fees for performance of Services will be for account of the Client. In some instances, shipping or delivery fees will be transacted outside the Eventory Platform.

 

5.8 Eventory shall not be held liable for any User transactions made outside the Eventory Platform. We are only responsible for transactions made through any of the payment gateways specified in the Terms.

5.9 All Orders will be deemed to be irrevocable and unconditional upon transmission through the Platform and Supplier shall be entitled to process such Order(s) without client’s further consent and without any further reference or notice to client. Nevertheless, in certain circumstances as stated in Clause 8, Client may request to cancel or amend the Order which Seller will endeavor to give effect to on a commercially reasonable effort basis. Notwithstanding the foregoing, Seller is not obliged to give effect to any request to cancel or amend any Order.

5.10 Clients must immediately report a Supplier’s failure or delay to deliver a fully paid Product or failure or delay to perform a fully paid Service and any billing discrepancies to Eventory. You will be asked to fill-out an Action Request Form, which Eventory will immediately investigate and act on.

6. FEES

6.1 Once a booking is confirmed and paid, Suppliers shall be charged a percentage fee for every transaction according to the Fee Schedule set out in “Annex A” (the “Platform Fee” and Third Party “Payment Channel Fee”).

6.2 Platform and Payment Channel Fees will be deducted from Client payments made on the Site.

6.3 Down payment and balance payment, if any, shall be considered separate transactions for the purpose of computing fee charges.

 

7. BILLING & SETTLEMENT

7.1 All Services and Products will be billed and remitted in Philippine currency (PHP).

 

7.2 Prices indicated for Services and Products on the Site are those in effect on the date you place your order and are inclusive of taxes on the platform and payment channel fees. Suppliers will be responsible for their respective tax obligations.

 

7.3 Eventory shall collect Client payments on behalf of Suppliers on the Site.

 

7.4 After deducting Platform and/or Payment Channel Fees, Eventory shall remit payments settled by our payment partners to Eventory’s account by the last working day of the month to the Supplier’s nominated bank account within 5 business days of the following month.

 

7.5 If the scheduled remittance day is a non-working holiday, remittance will be made on the following business day.

 

7.6 Any billing discrepancies for amounts paid by the Client on the Eventory Site or for amounts paid out to the Supplier due to the fault of Eventory shall be credited back to the Client or Supplier within 15 days of Eventory’s receipt of the notice from the Client or Supplier.  

 

7.7 If billing discrepancies are due to the fault or negligence of the Supplier, Eventory shall convey to Supplier for immediate investigation and settlement.

 

7.8 In case any amount must be credited back to a Client due to an erroneous payment or billing discrepancy due to the fault of the Supplier, or due to Supplier’s failure to deliver any Service or Product, the approved amount shall be deducted from the unsettled balance due to Supplier, if any. Should the balance due to Supplier be insufficient to cover the foregoing amount, Supplier agrees to pay the amount due to Eventory immediately upon demand.

 

7.9 Eventory will not be held liable for any delays in crediting to Supplier accounts as a result of unavoidable delays or those beyond our control due to external factors, such as but not limited to third party dependency, sudden holiday declaration, and fortuitous events.

 

8. REFUND / RETURNS / EXCHANGES

 

8.1 All Product return or exchange requests must be done in accordance to this Clause of the Terms. Clients must make the foregoing request within 7 days from receipt of the Product by filling out an Action Request Form.

8.2 Suppliers acknowledge that any platform fees for Eventory Services, once paid, are no longer refundable.

8.3 Eventory and Suppliers are not required to accept any return or exchange request unless Client complies with the steps set forth herein.

8.4 In compliance with the Consumer Act of the Philippines, Products can only be returned or exchanged if Client:

a) receives a Product that is fundamentally different in nature from the Product specified in the Site;

b) receives a faulty or damaged Product

c) receives an entirely wrong Product; or

d) receives a Product with missing parts

 

8.5 Client requests for a change in scheduled date of event are not guaranteed and subject to the written approval of the Supplier.   

8.6 Refunds may be made via a a different payment channel used by the Client and only to the Client who made the actual payment.

8.7 Eventory cannot guarantee a timeline for the actual return of the refunded amount to Client’s account. This is entirely dependent on Client’s bank or payment gateway.

 

9. TERMINATION

 

9.1 Termination by Eventory. It is our sole and absolute discretion to terminate User accounts. These may include accounts without any transactions for the last 180 days. Failure by the Supplier to deliver any Service or Product shall be subject to investigation and may be a ground for temporary or permanent account termination on Eventory. We have the right to prevent access to the Eventory Platform (or any part thereof) for any reason whatsoever, including a breach of any of these Terms.

9.2 Termination by Client. Clients may request for termination of their Eventory accounts via email to info@eventory.ph.

9.2  Termination by Supplier. Unless otherwise specified in Clause 4.1, Suppliers may request for termination of their Eventory accounts by giving 15 days prior written notice via email to info@eventory.ph.

 

10. MISCELLANEOUS

 

10.1 No Employer-Employee Relationship. If you choose to join the Eventory Platform as a Supplier, your relationship with Eventory is limited to being an independent, third-party provider, and not a contractor, employee, agent, joint venture partner or other partner of Eventory for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf, or for the benefit, of Eventory. You acknowledge that you have complete discretion whether to offer your Services and Products.

10.2 Force Majeure. We shall not be liable for any damage or loss when the performance of our obligations is prevented or affected directly or indirectly by or as a result of Force Majeure or any circumstances which could not have been foreseen, or which, though foreseen, were inevitable and beyond the control of the parties, including, but not limited to, earthquake, flood, storm, extreme adverse weather conditions, natural disasters or calamity, other acts of God, national emergencies, national health emergencies, declaration of martial law, acts of terrorism, the use of arms or through an irresistible force, order or act of competent public authority, strikes or riots, failure of electric power, gas, water, or other utility service, plant machinery, computers, vehicles or any collapse of building structures.

10.3 Non-Assignment. These Terms are only effective between you and us. Your membership or subscription to the Eventory Platform may not be assigned, transferred or sold to another person or entity without our express written consent.

10.4 Governing Law and Venue. These Terms and any claims arising out of them shall be governed by the laws of the Republic of the Philippines. In case of litigation, the proper courts of Makati City shall have exclusive jurisdiction.

Eventory shall deduct the Platform and/or applicable Payment Channel fees from its payables to Suppliers. Eventory shall remit payments to the Supplier’s nominated Bank Account. Should there be charges, such as bank wire transfer fees, in the remittance of payments outside of the schedule stated in Clause 7, Supplier agrees to shoulder all such fees and charges.

3. SCOPE OF EVENTORY ’S SERVICESRESPONSIBILITIES

 

3.1 Eventory shall operate and maintain the Eventory Platform 24 hours a day, 7 days a week.

 

3.2 The Eventory customer support desk shall be available on:

Monday-Friday: 910AM – 67PM, Manila time, excluding holidays.

Saturday: 10 AM – 4PM, Manila time

3.3 Eventory may initiate marketing strategies and create original content to be used on our Site for sales and promotions.

3.4 Eventory shall process online payments according to the settlement schedule further discussed in Clause 7.

3.5 Eventory shall undertake the necessary security measures to reduce fraud but cannot and will not guarantee a completely fraud-free environment. Nevertheless, Eventory shall be held liable for errors or fraud committed due to the fault or negligence of its employees. Eventory disclaims any and all liability for errors or fraud due to the fault of the Supplier or any of its employees.

3.6 Eventory is not neither a Product or Service provider nor is it a vendor nor agent of any Supplier. We merely provide a centralized platform where Clients and Suppliers can connect. We have no control over the existence, quality, accuracy, safety, or legality of the transactions that take place on the Eventory Platform nor the accuracy of Supplier listings. We have no control over the ability of Suppliers to provide Products or perform Services or provide Products. Nor do we have control over the the capacity of Clients to pay for Products and Services and Products. We make no representations nor warranties and disclaim liability and responsibility for the actions or inactions of Users.

 

3.7 Eventory will not be liable for any failure or delay in performance of our obligations caused by events outside our reasonable control.

4. SUPPLIER RESPONSIBILITIES

 

4.1 Successfully registered onboarded and approved Suppliers are required to commit a minimum term of 60 days on the Eventory Platform. This is subject to automatic renewal of another 30 days unless Eventory and the Supplier mutually agreed to terminate Supplier’s account on the Eventory Platform.

4.2 Suppliers must provide upload to Eventory with a list of products and services and products identical to the menu of products or services published on their respective websites or other similar channels of commerce (“Product or Service or Product Menu”).

4.3 Eventory and Suppliers shall make joint efforts to market eventory.ph to its Clients.

4.4 A Supplier who receives full payment, either partial or in full, for a SProduct or Service or Product booking request  from a Client enters into a legally binding agreement with the Client and is required to reserve the date, in the case of a partial payment, or provide the Product or Service or Product, in the case of full payment.

4.5 In the event of an emergency and Supplier cannot fulfill a paid Service, Supplier must take all the steps to inform the client and Eventory as early as possible prior to the date of event and provide a suitable replacement, otherwise Supplier agrees to issue a full refund.

Upon securing our approval, Suppliers must enable their “out of office” notifications.

4.8 Suppliers must promptly notify Eventory if there is any change to its registered business name. We may require Suppliers to provide additional documentation for proof of name change. If any of our Suppliers enter into dissolution, merger or other significant changes in personnel, we may at our discretion, terminate your account, including all content previously associated with such account.

4.9 Suppliers acknowledge that Eventory will not endorse you or your Products and Services and Products. We are in no way responsible for the commercial terms between you and Clients nor are we responsible for assisting you in the delivery of the Products and Services.

4.10 Suppliers are absolutely prohibited from offering Products or Services involving narcotics, unauthorized gaming, objectionable sexual materials such as child pornography, products infringing on any third party'’s intellectual property rights, or any other products or services prohibited by law.

5. CLIENT BOOKINGS / PURCHASES

5.1 For standard Services and Products, Clients shall place orders by first initiating a Booking Request with a Supplier adding their desired Products and Services to the cart on our Site.for confirmation of schedule availability. Once schedule is confirmed by Supplier, Client will be prompted to make payment. The temporary date blocked by Supplier and payment request are valid for 24 hours from the time the Supplier agrees to the schedule and requests payment. Clients can settle payment by proceeding with the Payment Link. to the “Checkout” menu.

5.2 If the Products or Services desired are customized, Supplier shall “Request Invoice” from Clients shall fill out a separate request form and upon Supplier confirmation, Eventory, who in turn shall send Client an separate automated invoice billing with corresponding payment instructionsoptions. The temporary date blocked by the Supplier and payment request are valid for 24 hours from the time the Supplier sends the Billing.

5.3 Clients shall be responsible for ensuring the accuracy of the Products and Services and Products ordered.

5.4 Unless otherwise provided by the Supplier in its terms specified on the Site, online payment is must be made in full before any Products are dispatched or Services rendered.

5.5 We offer the following payment methods:

a) Credit Card – Clients will pay a credit card transaction fee 1.5% powered by Xendit

b) EWallet powered by Xendit

c) Bank Transfer (coming soon)

d) Buy Now, Pay Later powered by Billease

5.6 We reserve the right to add, modify, or remove payment methods without prior notice to Users.

5.7 Any shipping fees for delivery of Products and any other incidental fees for performance of Services will be for account of the Client. In some instances, shipping or delivery fees will be transacted outside the Eventory Platform

5.8 Eventory shall not be held liable for any User transactions made outside the Eventory Platform. We are only responsible for transactions made through any of the payment gateways specified in the Terms.

5.9 All Orders will be deemed to be irrevocable and unconditional upon transmission through the Platform and Seller Supplier shall be entitled (but not obliged) tto process such Order(s) without your client’s further consent and without any further reference or notice to youclient. Nevertheless, in certain circumstances as stated in Clause 8, you Client may request to cancel or amend the Order which Seller will endeavor to give effect to on a commercially reasonable effort basis. However, nNotwithstanding the foregoing, Seller is not obliged to give effect to any request to cancel or amend any Order.

5.10 Clients must immediately report a Supplier’s failure or delay to deliver a fully paid Product or failure or delay to perform a fully paid Service and any billing discrepancies to Eventory. You will be asked to fill-out an Action Request Form, which Eventory will immediately investigate and act on.

6. FEES

 

6.1 Once a booking is confirmed and paid, Suppliers shall be charged a percentage fee for every transaction according to the Fee Schedule set out in “Annex A” (the “Platform Fee” and Third Party “Payment Channel Fee”).

6.2 Platform and Payment Channel Fees will be automatically deducted from Client payments made on the Site.

6.3 Down payment and balance payment, if any, shall be considered separate transactions for the purpose of computing fee charges.

7. BILLING & SETTLEMENTREMITTANCES

7.1 All Products and Services and Products will be billed and remitted in Philippine currency (PHP).

7.2 Prices indicated for Products and Services and Products on the Site are those in effect on the date you place your order and are inclusive of taxes on the platform and payment channel fees.12% Value Added Tax (VAT).  Eventory and its Suppliers will be responsible for its owntheir respective tTax obligations.

 

7.3 Eventory shall collect Client payments on behalf of Suppliers on the Site.

7.4 After deducting Platform and/or Payment Channel Fees, Eventory shall remit payments settled by our payment partners to Eventory’s account by the last working day of the month to the Supplier’s nominated bank account or EWallet on a weekly basis, specifically everywithin 5 business days of the following month.

7.5 If the scheduled remittance day is a non-working holiday, remittance will be made on the following business day.

 

7.6 Any billing discrepancies for amounts paid by the Client on the Eventory Site or for amounts paid out to the Supplier due to the fault of Eventory shall be credited back to the Client or Supplier within 15 days of Eventory’s receipt of the complaint notice from the Client or Suppliert.

7.7 If billing discrepancies are due to the fault or negligence of the Supplier, Eventory shall convey to Supplier for immediate investigation and settlement.

7.8 In case any amount must be credited back to a Client due to an erroneous payment or billing discrepancy due to the fault of the Supplier, or due to Supplier’s failure to deliver any Service or Product, the approved amount shall be deducted from the unsettled balance due to Supplier, if any. Should the balance due to Supplier be insufficient to cover the foregoing amount, Supplier agrees to pay the amount due to Eventory immediately upon demand.

 

7.9 Eventory will not be held liable for any delays in crediting to Supplier accounts as a result of unavoidable delays or those beyond our control due to external factors, such as but not limited to third party dependency, sudden holiday declaration, and fortuitous events.

8. REFUND / PRODUCT RETURNS / EXCHANGES

 

8.1 All Product return or exchange requests  must be done in accordance to this Clause of the Terms. Clients must make the foregoing request within 7 days from receipt of the Product by filling out an Action Request Form.

8.2 Suppliers acknowledge that aAny platform fees for Eventory Services, once paid, are no longer refundable.

8.3 Eventory and Suppliers are not required to accept any return or exchange request unless Client complies with the steps set forth herein.

8.4 In compliance with the Consumer Act of the Philippines, Products can only be returned or exchanged if Client:

a) receives a Product that is fundamentally different in nature from the Product specified in the Site;

b) receives a faulty or damaged Product

c) receives an entirely wrong Product; or

d) receives a Product with missing parts

8.5 Client requests for a change in scheduled date of event are not guaranteed and subject to the written approval of the Supplier.  

 

8.6 Refunds shall bemay be made via a the originala different payment channel used by the Client and only to the Client who made the actual payment.

8.7 Eventory cannot guarantee a timeline for the actual return of the refunded amount to Client’s account. This is entirely dependent on Client’s bank or payment gateway.

9. TERMINATION

9.1 Termination by Eventory. It is our sole and absolute discretion to terminate User accounts. These may include accounts without any transactions for the last 180 days. Failure by the Supplier to deliver the any Services and or Products is alsoshall be subject to investigation and may be a ground for temporary suspension or permanent account termination on Eventory. We have the right to prevent access to the Eventory Platform (or any part thereof) for any reason whatsoever, including a breach of any of these Terms.

9.2 Termination by Client. Clients may request for termination of their Eventory accounts via email to info@eventory.ph.

 

9.3 Termination by Supplier. Unless otherwise specified in Clause 4.1, Suppliers may request for termination of their Eventory accounts by giving 15 days prior written notice via email to info@Eeventory.ph.

10. MISCELLANEOUS

 

10.1 No Employer-Employee Relationship. If you choose to join the Eventory Platform as a Supplier, your relationship with Eventory is limited to being an independent, third-party provider, and not a contractor, employee, agent, joint venture partner or other partner of Eventory for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf, or for the benefit, of Eventory. You acknowledge that you have complete discretion whether to offer your Products and Services and Products.

10.2 Force Majeure. We shall not be liable for any damage or loss when the performance of our obligations is prevented or affected directly or indirectly by or as a result of Force Majeure or any circumstances which could not have been foreseen, or which, though foreseen, were inevitable and beyond the control of the parties, including, but not limited to, earthquake, flood, storm, extreme adverse weather conditions, natural disasters or calamity, other acts of God, national emergencies, national health emergencies, declaration of martial law, acts of terrorism, the use of arms or through an irresistible force, order or act of competent public authority, strikes or riots, failure of electric power, gas, water, or other utility service, plant machinery, computers, vehicles or any collapse of building structures.

10.3 Non-Assignment. These Terms are only effective between you and us. Your membership or subscription to the Eventory Platform may not be assigned, transferred or sold to another person or entity without our express written consent.

10.4 Governing Law and Venue. These Terms and any claims arisi ng out of them shall be governed by the laws of the Republic of the Philippines. In case of litigation, the proper courts of Makati City shall have exclusive jurisdiction.
